Introduction
Elytix Corporation and its respective affiliates or assigns (collectively, “Elytix,” “we”, “us”, or “our”) own and operate the websites primarily located at www.elytix.com and associated platforms, portals, and mobile applications (collectively, the “Websites,” “App,” or “Platform,” and collectively the “Sites”). The Sites are intended to facilitate the provision of the Services to registered Research Associates and other authorized users.
The “Services” may include: (i) providing individuals with information on health, wellness, research opportunities, and benefits (“Content”); (ii) facilitating participation in research studies as W-2 Research Associates, including enrollment via face-scan technology that uses remote photoplethysmography (rPPG) to collect vital-sign and wellness biomarkers; (iii) collection, secure processing, and analysis of rPPG biomarker data, health, demographic, and participation data for research study purposes (Elytix does not perform facial recognition or create facial-geometry or identity-matching templates); (iv) development, aggregation, de-identification, and retention of healthcare information and datasets for internal research, quality improvement, health plan design innovation, and data licensing or monetization initiatives (subject to the consents and authorizations set forth in the Privacy Policy); (v) administrative support in connection with research compensation, onboarding, and enrollment; (vi) secure telecommunications, messaging, and coordination tools for communication with research personnel, healthcare providers, and plan administrators; and (vii) participant-facing tools to manage research participation, view benefits information, complete assessments, and contribute to advancing data-driven healthcare solutions.
These Terms and Conditions of Use (“Terms of Use”) describe your rights and responsibilities regarding the Elytix Sites and Services. Your access to and use of the Sites is subject to these Terms of Use, our Privacy Policy, and the other agreements described below, as well as all applicable laws and regulations. In these Terms of Use, the terms “you” and “yours” refer to the person using the Services, typically as a Research Associate or participant. Even though you may have arrived at the Sites through a website or mobile application operated or controlled by a third party or affiliate, you understand and agree that these Terms of Use are entered into between you and Elytix.
If you do not accept and agree to be bound by these Terms of Use, you are not authorized to access or otherwise use the Sites, Services, or any information or Content provided through the Sites or Services. The Sites and Services are continually under development, and Elytix reserves the right to revise or remove any part of these Terms of Use in its sole discretion at any time and without prior notice to you. You should check the Terms of Use from time to time when you use the Sites or Services to determine if any changes have been made. Any changes to these Terms of Use are effective upon posting to the Sites. Unless otherwise indicated, any new Content added to the Services is also subject to these Terms of Use upon posting. If you disagree with these Terms of Use, your sole and exclusive remedy is to discontinue your use of the Sites and/or Services. Your continued use after a change has been posted constitutes your acceptance of the changes.
Related Agreements and Enrollment Consents
Participation as a Research Associate and use of the full Services requires acceptance of multiple related documents, each of which is presented and accepted by electronic checkbox (or equivalent electronic acceptance method) at the time of enrollment or onboarding. No wet signatures or additional physical paperwork are required. The principal related documents are:
- These Terms of Use (website and Platform use terms);
- The Elytix Privacy Policy (including provisions regarding rPPG biomarker data, de-identification, and authorization for use of de-identified information);
- A Research Participation Agreement and/or Informed Consent (covering research study participation, data contribution for research purposes, risks/benefits, and related research terms);
- A Biometric / rPPG Consent (covering collection and processing of face-scan biomarker data via remote photoplethysmography); and
- An Employee Agreement (covering the W-2 Research Associate employment relationship, compensation, tax treatment, Group Health Plan enrollment requirements, termination, and related employment terms).
Acceptance of these Terms of Use does not replace or supersede the separate agreements listed above; each remains independently binding once accepted.
Availability
Certain of our Services, research studies, and associated benefits are currently only available to individuals located in certain states or jurisdictions where such studies and plans are offered and compliant with applicable law. Elytix reserves the right to limit availability based on regulatory, operational, or other considerations in its sole discretion.
Privacy Policy
Elytix understands the importance of confidentiality and privacy regarding your personal, biometric, and health information. Please see our separate Privacy Policy available on the Sites for a detailed description of how we collect, use, disclose, de-identify, and protect your information, including specific provisions regarding rPPG biomarker data processing, research data aggregation, de-identification methods, data monetization, and authorization for use of de-identified information that Research Associates must agree to as a condition of participation. Our Privacy Policy may change from time to time; any changes will be posted on the Sites with notice where required. Your continued use constitutes acceptance of the then-current Privacy Policy.
Site Content and Medical/Research Information
Except for specific communications, assessments, or treatment recommendations received directly from licensed healthcare providers through or in connection with the Services, none of the Content you receive through the Sites should be considered medical, legal, or professional advice, and it is not intended to offer or replace such advice. Research information, eligibility tools, biomarker analyses, predictive outputs, or wellness resources are for informational, research, and administrative purposes and should be discussed with qualified professionals as appropriate. Elytix makes reasonable efforts to ensure accuracy but does not guarantee the completeness, timeliness, or applicability of any Content for your individual situation.
Access Rights and Prohibited Use
Subject to your compliance with these Terms of Use, we hereby grant you a personal, limited, revocable, non-exclusive, and nontransferable right to view, download, access, and use the Sites in the United States (or other authorized jurisdictions) and to use the Services solely for your personal, research participation, and non-commercial purposes as permitted under these Terms, the Privacy Policy, and any applicable study documents. No other right, title, or interest in or to the Sites or Content is transferred to you; all rights not expressly granted are reserved by Elytix or its licensors.
We reserve the right, in our sole discretion, to deny, suspend, or terminate use of the Sites or Services to anyone for any reason, including suspected violation of these Terms or applicable law.
You agree that you will not, and will not attempt to: (a) impersonate any person or entity or misrepresent your affiliation, identity, or eligibility; (b) use the Sites or Services to violate any local, state, national, or international law or regulation; (c) reverse engineer, disassemble, decompile, decrypt, or translate any software or other components of the Sites; (d) distribute, input, upload, transmit, or propagate any virus, Trojan horse, malware, or harmful code; (e) access or use the Sites in any manner that infringes, misappropriates, or violates any intellectual property or other right of any third party; (f) license, sublicense, sell, resell, transfer, assign, distribute, or commercially exploit the Sites, Services, or related materials without prior written authorization; (g) use or access the Sites to create, develop, or improve competing products or services or for any purpose detrimental to Elytix’s commercial interests; (h) take any action that could damage, destroy, disrupt, disable, impair, overburden, interfere with, or harm the Sites, Content, or related systems; (i) disrupt, interfere with, violate the security of, or attempt unauthorized access to the Sites or any network; (j) bypass, breach, remove, deactivate, or circumvent any security device, protection, or technological measure; (k) remove, alter, or obscure any trademarks, disclaimers, or intellectual property notices; (l) use any manual or automated process (including scraping, crawling, or data mining) to monitor, copy, or extract Content for any unauthorized purpose; (m) copy, duplicate, publish, transmit, reproduce, distribute, aggregate, or use any data, text, reports, or other materials from the Sites to create or populate any database or similar resource without authorization; (n) attempt to extract, reverse-engineer, or misuse raw biomarker data, templates, or related models; or (o) encourage or enable any other individual to do any of the foregoing.
Ownership of Site Content and Intellectual Property
As between Elytix and you, Elytix is the sole and exclusive owner of all right, title, and interest in and to the Sites and their content, features, functionality (including all information, software, text, displays, images, video, audio, design, selection, arrangement, look and feel, algorithms, AI models, and datasets), other Content, and all intellectual property rights therein, as well as any suggestions, ideas, or feedback you provide. You are not permitted to reproduce, publish, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, or exploit in any way, in whole or in part, any material on the Sites except as generally and ordinarily permitted through the Sites according to these Terms of Use. Any copy, modification, revision, enhancement, adaptation, translation, or derivative work shall be owned solely and exclusively by Elytix or its licensors. You may not access or use any part of the Sites or Content for any commercial purpose without prior written authorization from Elytix.
Trademarks
Certain names, logos, marks, and other materials displayed on or through the Sites may constitute trademarks, trade names, service marks, or logos (“Marks”) of Elytix or its affiliates. You are not authorized to use any such Marks without the express prior written permission of Elytix. Ownership of all Marks and associated goodwill remains with Elytix or its affiliates.
Links to Third-Party Hyperlinks and Websites
The Sites may contain hyperlinks or references to other websites (“Linked Sites”) operated by third parties, including affiliates, research partners, plan administrators, or vendors. The Linked Sites are not under our control, and we are not responsible for the information, products, services, content, or privacy practices of any Linked Site. We provide these links as a convenience only, and inclusion does not imply endorsement. Your use of Linked Sites is at your own risk, and we are not liable to you in any way for any content, errors, damage, or loss arising from use of or reliance on Linked Sites.
Termination
These Terms of Use will remain in full force and effect as long as you continue to access or use the Sites or Services. You may terminate these Terms of Use at any time by discontinuing use of the Sites. Your permission to use the Sites automatically terminates if you violate these Terms of Use or applicable law.
Elytix may terminate or suspend any of the rights granted by these Terms of Use and your access to and use of the Sites and Services, with or without prior notice, for any reason, and at any time, including but not limited to violation of these Terms, fraud, misrepresentation, or operational or regulatory considerations.
The following provisions survive the expiration or termination of these Terms of Use for any reason: Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law, Dispute Resolution, Arbitration, Venue, Severability; No Waiver; and Assignment.
Subject to applicable law and research integrity requirements, Elytix reserves the right to maintain, delete, or destroy communications and other materials pursuant to its internal record retention and content destruction policies. After termination, Elytix will have no further obligation to provide the Services, except to the extent required by law. You agree that upon termination you will not attempt to access or use the Services in any way, and if you violate this restriction you will indemnify and hold Elytix harmless from any resulting liability.
Disclaimer of Warranties
YOU EXPRESSLY AGREE THAT USE OF THE SITES AND SERVICES IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT THE SITES, SERVICES, CONTENT, BIOMARKER TOOLS, AI MODELS, DATA ANALYSES, AND ANY RESEARCH OR BENEFITS PROGRAMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ELYTIX AND ITS AFFILIATES, INCLUDING ALL AFFILIATED PROFESSIONAL ENTITIES, RESEARCH PARTNERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, PARTNERS, MEMBERS, EMPLOYEES, AND AGENTS (COLLECTIVELY “RELATED PERSONS”) MAKE NO REPRESENTATIONS OR WARRANTIES AND EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SITES AND SERVICES, INCLUDING BUT NOT LIMITED TO ANY REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, NONINFRINGEMENT, TITLE, AVAILABILITY, SECURITY, OPERABILITY, CONDITION, QUIET ENJOYMENT, VALUE, ACCURACY OF DATA OR ANALYSES (INCLUDING BIOMARKER OR PREDICTIVE OUTPUTS), FREEDOM FROM VIRUSES, MALWARE, OR ERRORS, COMPLETENESS, TIMELINESS, FUNCTIONALITY, RELIABILITY, SEQUENCING, SPEED, OR SYSTEM INTEGRATION.
WE MAKE NO WARRANTIES OR REPRESENTATIONS THAT YOUR USE OF THE SITES OR SERVICES WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES, THAT BIOMARKER CAPTURE OR AI ANALYSES WILL BE ACCURATE OR ERROR-FREE IN ALL CASES, OR THAT PARTICIPATION WILL RESULT IN ANY PARTICULAR HEALTH, BENEFITS, OR COMPENSATION OUTCOME. TO THE FULLEST EXTENT OF APPLICABLE LAW, NEITHER ELYTIX NOR ITS RELATED PERSONS WILL BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON INFORMATION, ANALYSES, OR RECOMMENDATIONS OBTAINED THROUGH THE SITES. IT IS YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AND USEFULNESS OF THE SITES AND SERVICES FOR YOUR PURPOSES. Limitation of Liability
YOU UNDERSTAND THAT TO THE EXTENT PERMITTED UNDER APPLICABLE LAW AND EXCEPT AS SET FORTH IN THIS SECTION, IN NO EVENT WILL ELYTIX, ITS RELATED PERSONS, LICENSORS, RESEARCH PARTNERS, OR DATA LICENSEES BE LIABLE TO YOU OR TO ANY PARTY FOR ANY CLAIMS, LIABILITIES, LOSSES, COSTS, OR DAMAGES UNDER ANY LEGAL OR EQUITABLE THEORY, WHETHER IN TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), CONTRACT, WARRANTY, STATUTE, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA, SERVICE INTERRUPTION, COMPUTER OR DEVICE DAMAGE, SYSTEM FAILURE, COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY, EMOTIONAL DISTRESS, OR DEATH, ARISING OUT OF OR IN CONNECTION WITH ANY ACCESS, USE OF (OR INABILITY TO USE) THE SITES OR ANY SERVICES, RESEARCH PARTICIPATION, BIOMARKER DATA USE, DE-IDENTIFIED DATA LICENSING OR DOWNSTREAM USE BY THIRD PARTIES, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES OR PARTICIPATION. THIS IS TRUE EVEN IF ELYTIX OR RELATED PERSONS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.
TO THE EXTENT THAT WE MAY NOT, AS A MATTER OF APPLICABLE LAW, DISCLAIM ANY IMPLIED WARRANTY OR LIMIT LIABILITIES, THE SCOPE AND DURATION OF SUCH WARRANTY AND THE EXTENT OF OUR LIABILITY WILL BE THE MINIMUM PERMITTED UNDER SUCH APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR WARRANTIES; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless Elytix, its affiliates (including affiliated professional entities and research partners), subsidiaries, and their directors, officers, employees, contractors, licensors, suppliers, representatives, proprietors, partners, shareholders, servants, principals, agents, predecessors, successors, assigns, accountants, and attorneys from and against any and all third-party suits, actions, claims, proceedings, damages, settlements, judgments, injuries, liabilities, obligations, losses, risks, costs, and expenses (including reasonable attorneys’ fees, litigation expenses, and accounting fees) relating to or arising from, or alleged to arise from: your use of the Sites or Services in an unauthorized manner; fraud, misrepresentation, or willful misconduct; violation of law or these Terms of Use; breach of any representation, warranty, or covenant herein; or any breach by you of these Terms of Use or the Privacy Policy.
Modifications to the Sites and Services
Elytix reserves the right at any time and for any reason to modify, update, enhance, or temporarily or permanently discontinue the Sites, Services, or any portion thereof, with or without notice. You agree that Elytix shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Sites or Services. Where feasible, Elytix will provide reasonable notice of material changes.
No Representation, Warranty, or Guarantee of Continued Availability
OTHER THAN WHERE REQUIRED BY APPLICABLE LAW, ELYTIX MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES REGARDING THE CONTINUED AVAILABILITY OF THE SITES OR SERVICES. THE SITES OR SPECIFIC SERVICES MAY BE DISCONTINUED, MODIFIED, OR SUSPENDED AT ANY TIME AT THE SOLE DISCRETION OF ELYTIX DUE TO REGULATORY CHANGES, OPERATIONAL REASONS, OR OTHER FACTORS. ELYTIX WILL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE DISCONTINUATION OR MODIFICATION OF THE SITES OR SERVICES.
Governing Law; Dispute Resolution; Arbitration; Venue; Severability of Provisions
PLEASE READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES YOU AND ELYTIX TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM ELYTIX.
These Terms of Use and your use of the Sites shall be governed by the laws of the State of Wyoming, without giving effect to the principles of conflict of laws. Any dispute arising under or relating in any way to these Terms of Use, the Privacy Policy, or your use of the Sites or Services will be resolved exclusively by final and binding individual arbitration in Sheridan County, Wyoming, under the rules of the American Arbitration Association (or such other mutually agreed arbitration administrator). You and Elytix each waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding. The arbitrator may award individual relief only and may not consolidate claims of multiple parties or preside over any form of class, collective, or representative proceeding. Notwithstanding the foregoing, either party may bring a claim related to intellectual property rights or seek temporary and preliminary specific performance or injunctive relief in any court of competent jurisdiction. The parties agree that the courts located in Sheridan County, Wyoming, shall have exclusive personal jurisdiction, subject matter jurisdiction, and venue for any such non-arbitrated claim. Nothing in this arbitration agreement shall be construed to require arbitration of claims that are exempted from arbitration by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (EFAA) or any other applicable federal law that prohibits compelled arbitration of such claims.
All parts of these Terms of Use apply to the maximum extent permitted by law. Elytix and you both agree that if any part of this contract cannot be enforced as written, that part will be replaced with terms that most closely match the intent of the unenforceable part, to the extent permitted by law. The invalidity of any part of these Terms of Use will not affect the validity and enforceability of the remaining provisions. The section headings are for convenience only and do not have any force or effect. This arbitration agreement survives termination of these Terms or your participation.
No Waiver
No waiver by Elytix of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by Elytix to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Elytix to be effective.
No Agency Relationship
Neither these Terms of Use, nor any Content, materials, or features of the Services create any partnership, joint venture, or other agency relationship between Elytix and you that would authorize you to enter into any contract on our behalf or bind Elytix in any way. You may not enter into any contract on our behalf or bind Elytix in any way.
Remedies
You agree that any violation, or threatened violation, by you of these Terms of Use or the Privacy Policy constitutes an unlawful and unfair business practice and/or breach that will cause Elytix irreparable and unquantifiable harm. You also agree that monetary damages would be inadequate for such harm, and you consent to Elytix obtaining any injunctive, equitable, or other relief that it deems necessary or appropriate, without the necessity of posting a bond or proving actual damages. These remedies are in addition to any other remedies Elytix may have at law or in equity, including pursuit of damages.
Assignment
You may not assign any of your rights or obligations under these Terms of Use, and any such attempt will be null and void. Elytix and its affiliates may, in their sole discretion, transfer, assign, or delegate all or any part of their contractual rights and obligations under these Terms of Use to any successor or acquirer in connection with a merger, acquisition, sale of assets, corporate reorganization, or other transaction, without further consent, notice, or liability to you.
Digital Millennium Copyright Act (DMCA)
Elytix reserves the right to remove any content or any other material or information available on or through our Sites, at any time, for any reason, including suspected infringement. Elytix complies with the provisions of the Digital Millennium Copyright Act (“DMCA”) applicable to Internet service providers (17 U.S.C. § 512, as amended) and responds to clear notices of alleged copyright infringement.
