RESEARCH PARTICIPATION AGREEMENT

This Research Participation Agreement and Informed Consent (“Agreement”) is a required enrollment document for participation as a Research Associate in research studies sponsored or administered by Elytix Corporation (“Elytix,” “we,” “us,” or “our”). By checking the acceptance box (or otherwise electronically accepting this Agreement) at enrollment, you acknowledge that you have read, understood, and agree to the terms below.

1. Purpose of the Research

Elytix conducts observational and health-outcomes research studies that involve the collection of health information, lifestyle data, and objective biomarker data obtained through remote photoplethysmography (rPPG) face scans. The goals include advancing scientific understanding of health and wellness indicators, developing and validating predictive models, supporting innovative group health plan designs, and generating de-identified datasets that may be used for research and commercial purposes (including licensing) to help sustain the research program and participant benefits.

2. What Participation Involves

If you agree to participate, you will be asked to:

  • Complete onboarding and provide accurate personal, demographic, and health-related information;
  • Perform periodic face scans using the Elytix Platform or App (rPPG biomarker collection — no facial recognition);
  • Complete questionnaires, assessments, or surveys if and when requested by Elytix as part of the research protocol;
  • Provide or authorize collection of additional health information if and when requested by Elytix (which may include medications, providers seen, appointments, symptoms, diagnoses, and related information); and
  • Maintain continuous enrollment in an Elytix-sponsored Group Health Plan as required under your Employee Agreement (an essential component of the research protocol).

Participation is voluntary. You may decline to answer specific questions or decline particular assessments, subject to the impact on study eligibility and continued participation.

3. Risks and Benefits

Risks of participation are expected to be minimal and primarily related to:

  • Privacy and data-security risks inherent in any collection of health and biometric-related information (mitigated by technical, administrative, and physical safeguards described in the Privacy Policy);
  • Possible discomfort or inconvenience from completing scans or questionnaires; and
  • The residual risk that de-identification methods, while designed to minimize re-identification risk, are not infallible.

Potential benefits include contribution to scientific knowledge, access to associated Group Health Plan coverage (subject to plan terms and the Employee Agreement), research compensation, and the societal and platform-sustainability benefits of the data contribution model. There is no guarantee of any particular personal health or financial benefit.

4. Compensation

Active, compliant Research Associates receive compensation at a rate of $40.00 per hour, billed in 15-minute increments, for time spent completing the required monthly research session. One research session per calendar month is compensated. Additional scans may be performed at any time at no cost to the Research Associate but are not separately compensated. Compensation is subject to active participation, compliance with study protocols, and the terms of the Employee Agreement. Compensation is reported on Form W-2 and is subject to applicable tax withholding.

5. Data Use, De-identification, and Ownership

You authorize Elytix to collect, use, process, de-identify, aggregate, analyze, retain, and commercialize the data you provide or that is generated through your participation (“Submitted Data”), consistent with the Privacy Policy.

You expressly authorize Elytix to de-identify your healthcare and biomarker information using appropriate methods (including HIPAA Safe Harbor or Expert Determination). Once properly de-identified, such information is no longer Protected Health Information (PHI) under HIPAA. All de-identified data and all right, title, and interest therein (including intellectual property rights) shall belong solely and exclusively to Elytix Corporation. Elytix may use, license, sell, assign, disclose, or otherwise exploit such de-identified data for any lawful purpose without further obligation, notice, consent, or compensation to you. Only de-identified data is licensed or sold to third parties.

This authorization and the ownership assignment survive withdrawal or termination of participation.

6. Confidentiality

Elytix will protect identifiable information in accordance with the Privacy Policy and applicable law. De-identified and aggregated data may be shared with research partners, licensees, and other third parties under appropriate agreements that prohibit re-identification attempts.

7. Voluntary Participation and Withdrawal

Participation is voluntary. You may withdraw from research participation at any time by contacting support@elytix.com or following the procedures in the Employee Agreement or this Agreement. Withdrawal will generally result in:

  • Termination of active Research Associate status and associated compensation;
  • Loss of eligibility for the Elytix Group Health Plan (except that COBRA or similar continuation coverage may be available at your expense); and
  • No further obligation to submit new data.

Data already collected and any de-identified datasets derived from your participation may continue to be used and retained by Elytix as described in the Privacy Policy and this Agreement. Some retention may be required for regulatory or research integrity reasons.

This Agreement is supplemented by the Terms of Use, Privacy Policy, Biometric / rPPG Consent, and Employee Agreement. In the event of conflict regarding research participation terms, this Agreement and the Privacy Policy control on data-use matters.

By checking the box or otherwise electronically accepting this Agreement, you acknowledge that you have read and understood it, that participation is voluntary, and that you agree to its terms.
